What legal form to choose: Limited Company (S.L.) or Public Limited Company (S.A.)?
For most SMEs and foreign subsidiaries, the Limited Company (S.L.) is the ideal option, as it only requires a minimum share capital of €3,000. The Public Limited Company (S.A.) is reserved for large corporations (minimum capital €60,000). We analyze your partner structure to recommend the most fiscally efficient option.
Is it mandatory to be a tax resident in Spain to be a partner or director?
No, it is not necessary to live in Spain. You can be a partner and director as a non-resident foreigner. The only mandatory requirement is to obtain the NIE (Foreigner Identification Number), a procedure that we manage entirely for you before the National Police or the Consulate, without you having to travel.
What is the real deadline to incorporate a company and start invoicing?
If the partners already have an NIE, the process usually lasts between 2 and 3 weeks. If we must process the NIEs for foreign partners, the term may be slightly extended. Our goal is to get the Provisional NIF as soon as possible so you can start your business while the registration in the Commercial Registry is being finalized.
What is the difference between the NIE of the partners and the NIF of the company?
The NIE is the personal identifier of the foreign partner, while the NIF (Tax Identification Number) is the ID of your company. We manage the obtaining of the NIF before the Tax Agency (Hacienda) so that your company can issue invoices, deduct VAT, and legally hire employees.
How to open a bank account in Spain as a foreign company?
